1. Agreement to Terms

By accessing and using the SPAT platform and website, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service. SPAT reserves the right to refuse service to anyone who violates these Terms of Service.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on SPAT's platform for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modifying, copying, or creating derivative works of the materials
  • Using the materials for any commercial purpose or for any public display
  • Attempting to reverse engineer, disassemble, decode, or otherwise access the underlying technology or software on the platform
  • Removing any copyright, trademark, or other proprietary notations from the materials
  • Transferring the materials to another person or "mirroring" the materials on any other server
  • Circumventing any access controls or security measures

3. Disclaimer

THE MATERIALS ON SPAT'S PLATFORM ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS. SPAT MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, AND HEREBY DISCLAIMS AND NEGATES ALL OTHER WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY OR OTHER VIOLATION OF RIGHTS. SPAT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

4. Limitations of Liability

IN NO EVENT SHALL SPAT OR ITS SUPPLIERS, PARTNERS, OFFICERS, DIRECTORS, AGENTS, OR EMPLOYEES BE LIABLE FOR ANY DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA, LOSS OF REVENUE, LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS OPPORTUNITY, OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES) ARISING OUT OF OR RESULTING FROM:

  • The use of or inability to use the materials or services on SPAT's platform
  • Unauthorized access to or alteration of your data or communications
  • Any third-party conduct, materials, or information on the platform
  • Delay or failure in performance resulting from circumstances beyond SPAT's reasonable control
  • Reliance on any information, recommendations, or services provided through the platform

EVEN IF SPAT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

5. User-Generated Content and Indemnification

You are responsible for all content you upload, submit, or otherwise provide through SPAT ("User Content"). By providing User Content, you grant SPAT a worldwide, royalty-free, perpetual, irrevocable license to use, copy, modify, distribute, and display such content for any purpose. You represent and warrant that you own or have the rights to all User Content and that it does not infringe upon the rights of third parties.

You agree to indemnify, defend, and hold harmless SPAT and its officers, directors, employees, agents, and successors from any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the platform, your User Content, or your violation of these Terms.

6. Accuracy of Materials

The materials appearing on SPAT's platform could include technical, typographical, or photographic errors. SPAT does not warrant that any of the materials on the platform are accurate, complete, or current. SPAT may make changes to the materials contained on the platform at any time without notice.

7. Third-Party Links and Content

SPAT has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by SPAT of the site. Use of any such linked website is at the user's own risk. SPAT is not liable for any damage or loss resulting from the use of linked websites.

8. Intellectual Property Rights

All content on SPAT, including but not limited to text, graphics, logos, images, audio, video, and software, is the exclusive property of SPAT or its licensors and is protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, transmit, display, or perform any content from SPAT without prior written permission.

9. Modifications to Terms and Service

SPAT may revise these terms of service for the platform at any time without notice. By using the platform, you are agreeing to be bound by the then current version of these terms of service. SPAT also reserves the right to modify, suspend, or discontinue the platform or any portion thereof at any time without notice.

10. Account Termination

SPAT reserves the right to terminate or suspend your access to the platform immediately, without prior notice or liability, for any reason, including if you violate these Terms of Service or engage in unlawful conduct. Upon termination, your right to use the platform will immediately cease.

11. User Responsibilities

You agree not to use SPAT to:

  • Engage in any illegal activities or violate any applicable laws or regulations
  • Transmit or upload any content that is harmful, threatening, harassing, defamatory, or obscene
  • Attempt to gain unauthorized access to the platform or its systems
  • Interfere with or disrupt the normal operation of the platform
  • Engage in any form of fraud, phishing, or deception
  • Spam or send unsolicited communications

12. Governing Law and Jurisdiction

These terms and conditions are governed by and construed in accordance with the laws of the United States and the State of Texas, without regard to its conflicts of law principles. You irrevocably submit to the exclusive jurisdiction of the courts in Texas for resolution of any disputes arising from these Terms or your use of the platform. You waive any objection to venue or inconvenient forum.

13. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
